Terms and Conditions for Driving Partners
This Driver Agreement (“Agreement, “Terms”) is entered into on the date you agree to this
document (the “Effective Date”), by and between Nishaan Inc., a Washington corporation doing
business as goEasy (hereinafter “goEasy”, “we”, “us”, or “our”), and you (the “Driver”,
collectively, “Drivers”). goEasy and Driver are collectively referred to as the “Parties,” and
individually as a “Party.”
WHEREAS goEasy facilitates rides for children between activities, school, and home, by working
with established and accredited transportation providers and Drivers.
WHEREAS, goEasy has requested the Driver provide certain transportation services per the terms
and conditions of this Agreement, and the Driver has agreed to provide such services for goEasy.
NOW, THEREFORE, in consideration of the mutual promises contained herein, and for other good
and valuable consideration, the receipt and legal sufficiency of which are hereby acknowledged,
the Parties hereby agree as follows:
- SERVICES
1.1 Services.
1.1.1. Services Generally. Subject to this Agreement, Driver shall provide the
transportation services for goEasy. (“Service” or “Services”).
1.1.2. Service Locations. goEasy facilitates rides for children in greater Seattle and the
suburbs in Washington state (the “Service Area”). Additional geographic locations
may be added or removed without notice.
1.1.3. Route. The goEasy website or mobile application (collectively, the “Platform”)
aggregates individual scheduled rides into assigned, grouped routes (each a
“Route” or collectively, “Routes”) for sequential or coordinated service and
publishes such Routes on the Platform daily. The Route publication schedule and
related Route information are available on the Platform.
1.1.4. Routes will be offered to Drivers who have satisfied goEasy’s vetting, safety, and
credentialing requirements and who meet applicable operational criteria (including
location, availability, and stated Service Area preferences as reflected in the Driver’s
account). A Route shall be assigned to the first qualified Driver who accepts that
Route via the Platform, subject to any operational or safety-based adjustments
made by goEasy.

DRIVER AGREEMENT
1.1.5. A Route includes driving distance and time from arrival at the first stop to drop-off
at the last stop, payout, number of stops, and booster seats. Each route shall have
numbered stops for pick-up and drop-off. Each stop shall include the address,
arrival, and departure times at the stop, the name of the passenger the Driver is
transporting (“Rider”, collectively, the “Riders”), a picture of the Rider, the Rider's
grade, and any other information necessary to complete the ride. A Route begins
when the Driver arrives at the first stop to pick up the Rider. A Route ends when
the Driver drops off the last rider at the last drop-off location.
1.1.6. Multiple Riders. Routes may be optimized to transport multiple Riders traveling in
the same direction in one vehicle. The number of Riders must not exceed the
number of seatbelts in the car.
1.1.7. Route Assignments. The Driver shall be assigned a Route based on the number of
ride requests received by goEasy for that date, the Driver’s availability, and the
Driver’s proximity to the Route. Routes shall be assigned by goEasy. Routes are
subject to change based on demand. The Driver will receive a text notification on
their registered phone that a route is available for a date. The driver can
acknowledge or decline the route on the Platform. goEasy does not guarantee that
a Route will be available to the driver if it is not accepted within an hour of receiving
the notification. A confirmed Route shall be posted on the Driver’s Account by the
designated “cut-off time” of 7:00 pm the day before the Services shall take place.
1.1.8. Serviced Route. A Route from first-stop pick-up to last-stop drop-off is considered
serviced when all riders have been marked as dropped off.
1.2 Driver’s Equipment. All vehicles, equipment, systems, assets, and other property or
resources owned and used by the Driver in connection with the provision of Services
hereunder (collectively, the “Driver Equipment”) shall remain the Driver's property. They
will stay under the sole direction and control of the Driver.
1.3 Control. The determination or designation of equipment and other resources of the Driver
to be used in connection with the Services shall reside solely with the Driver. The Driver
shall be in operational control of all Driver Equipment during the provision of Services. The
Driver is authorized to take orders only from goEasy regarding the time and location for the
Services.
1.4 Driver Account. Driver shall create an account (“Account”) on the goEasy Platform. The
Driver shall not create more than one Driver Account. The Driver shall not use a false
identity or provide false information when creating an Account. Driver agrees to provide
and maintain accurate, current, and complete information about themselves in their
Account and on the Platform. The Driver may not create an Account for someone else
unless they have legal authority to do so. Driver shall have no ownership or other property
interest in their Account. The Driver shall safeguard their username and password and shall
not share them with anyone else. The Driver is responsible for all activity under their
Account. Driver agrees to continually monitor their Account to ensure no minor has access
to or uses their Account. goEasy reserves the right to suspend or terminate an account at

any time and for any reason. Driver understands that their contact information and other
provided and applicable identification information may be shared in connection with
providing Services under this Agreement.
1.5 Platform Conduct. Driver agrees not to use or direct others to use the Platform or perform
any Services in any manner that is prohibited by this Agreement, including any manner
that:
a. Violates any law, statute, rule, permit, ordinance, or regulation.
b. Jeopardizes the safety of any person or causes any harm or injury to any person.
c. Is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive
of other privacy, tortious, vulgar, pornographic, obscene, offensive, or profane.
d. Discriminates against or harasses anyone based on race, national origin, religion,
gender, gender identity, physical or mental disability, medical condition, marital status,
age, or sexual orientation, or any other characteristic protected by law.
e. Constitutes unauthorized or unsolicited advertising, junk, or bulk e-mail.
f. Involves commercial activities and sales without goEasy’s prior written consent, such
as promotions, barter, and advertising.
g. Impersonate any person or entity, including any employee, representative, or
independent contractor of goEasy.
h. Interferes with or attempts to interfere with the proper functioning of the Platform, or
in any way not expressly permitted by this Agreement.
i. Violates a certification, attestation, or sworn statement or constitutes a
false/fraudulent certification, attestation, or statement made in conjunction with using
the Services; or
j. Attempts to engage in or engages in any potentially harmful acts that are directed
against goEasy, including but not limited to violating or attempting to violate any
security features of the Platform, using manual or automated software or other means
to access, “scrape,” “crawl” or “spider” any pages created or maintained by goEasy,
introducing viruses, worms, or similarly harmful code, or interfering or attempting to
interfere with the use of the Platform or Services by any other user, host or network,
including by means of overloading, “flooding,” “spamming,” “mail bombing,” or
“crashing” the Platform.
- DRIVER REQUIREMENTS
2.1 Compliance with State and Federal Laws. Driver represents and warrants that Driver is
compliant and shall remain compliant with all local, state, and federal laws, ordinances,
and regulations that apply to the operation of a motor vehicle in the jurisdiction in which
Driver provides Services and that apply to driving a vehicle for commercial purposes. Driver

shall comply with all applicable permits, driver’s permits, vehicle insurances, and other
authorizations and approvals applicable to the Services.
2.2 Driver Eligibility. Driver shall meet the following requirements:
a. Is over the age of 23;
b. Has a valid Social Security Number.
c. Has a checking or savings account for payment processing.
d. Has at least five years of driving experience.
e. Has two or more years of childcare experience with children. Being a parent,
schoolteacher, or nurse counts as childcare experience.
f. Provides a valid reference.
g. Passes a comprehensive background check of county, state, and national records,
including the global watchlist and sex offender registries, and has no infractions.
h. Passes a drug and alcohol test and
i. Possess either an Android 7.0 or newer or an iPhone 6s or newer with an iOS 15 or
higher that has RAM Memory of 2GB or higher, GPS, location services, and a SIM card
2.3 Service Conduct. Driver shall not:
a. engage in reckless behavior while driving,
b. drive unsafely,
c. permit an unauthorized third party to accompany them in the Driver Vehicle while
providing Services for goEasy,
d. be under the influence of alcohol or illicit drugs, including marijuana, while providing
Services for goEasy,
e. engage in illegal use of a mobile device or
f. take actions that harm or threaten the safety of any Rider, member of the goEasy
community, or third parties.
If, at any time, the Driver participates in any action listed in Section 2.3(a) through 2.3(f)
while providing Services for goEasy, this Agreement shall be immediately terminated.
2.4 Missed Rides and Substitute Drivers. The Driver shall not substitute for another Driver or
vehicle in their place. If the Driver cannot provide Service as scheduled, the Driver agrees
to notify goEasy in advance by email or phone. For emergencies, (such as sickness or
tending to a sick minor at home), the Driver shall do their best to inform goEasy by phone,
text, or email as soon as the Driver becomes aware that they will be unable to perform
Services as scheduled.
2.5 Additional Compliance. The Driver agrees to comply with any additional background
checks or clearance requirements for transporting minors, including checks related to child
abuse or neglect. goEasy reserves the right to add additional requirements to comply with

the law at any time, without prior notice to the Driver. In addition, Driver shall be subject
to any additional requirements listed in this Agreement. Failure to meet any requirement
at any time shall result in termination of this Agreement, and remedies for violations shall
be evaluated on a case-by-case basis.
2.6 In-Person Evaluation. The Driver shall be evaluated in person. All information provided to
goEasy shall be verified for accuracy. This Agreement shall be terminated immediately if
the Driver or Driver Vehicle may not meet any requirement listed in Section 2, “Driver
Requirements,” or Section 3, “Vehicle Requirements.” Not all potential drivers are
accepted solely on the basis of the goEasy decision.
2.7 Use of Child Car Seats: The Driver must ensure that appropriate child safety or booster
seats are available and used according to the jurisdiction in which the Driver provides
Services.
2.8 Supervision: The Driver shall not leave minors unattended in the vehicle at any time.
2.9 Pickup and Drop-Off Protocol: The Driver must verify the identity of the adult (parent or
guardian) during pickup and drop-off, ensuring the child is released to an authorized person
only.
- VEHICLE REQUIREMENTS
3.1 Registration. Driverrepresents that Driver owns or hasthe legal right to operate the vehicle
used by the Driver to perform the Services (“Driver Vehicle”). At least annually, at a time
determined by goEasy, the Drivershall provide proof of valid and active vehicle registration.
3.2 Vehicle Safety Measures.
3.2.1. Inspections: The Driver Vehicle must be well kept, less than ten (10) years old, and
must pass a thorough 16-point safety inspection every year, as required by the
jurisdiction where the Driver provides Services. Driver shall provide goEasy with
vehicle inspection and maintenance reports for the Driver Vehicle annually and
within 14 days of any request by goEasy.
3.2.2. Cleanliness: The Driver's Vehicle must be clean and sanitary since children will be
transported.
3.2.3. Video Camera. The driver shall use the goEasy-provided or recommended video
cameras in the Driver's Vehicle. The video cameras shall be turned on at least 10
minutes before the first ride and remain on throughout the Route. Failure to turn
on video cameras may result in an insurance loss in the event of an incident.
3.2.4. GPS. Utilizing the required technology as outlined in Section 2.2(i), goEasy uses GPS
tracking during Services for real-time monitoring of Riders for parents and
guardians.

3.2.5. Signage. The Driver shall place goEasy-provided signage on and in the Driver's
Vehicle to facilitate vehicle identification by children, school staff, and other
authorized persons.
- INSURANCE
4.1 Insurance. The driver shall provide proof of valid liability insurance with a financially sound
and reputable insurer consistent with all applicable state and federal laws for the operation
of the Driver's Vehicle. Upon goEasy's request, the Driver shall provide goEasy with proof
of insurance from their insurer, evidencing the insurance coverage required under this
Agreement. Proof of insurance shall be verified by goEasy every six (6) months. The driver
shall give goEasy one (1) week's written advance notice of any cancellation or material
change to the Driver’s insurance policy.
4.2 goEasy Insurance. The goEasy shall maintain contingent insurance coverage that activates
when the Driver is logged into the platform and providing services. Coverage begins when
the Driver is enroute to pick up and continues until the Driver has completed dropoff. During a goEasy assigned ride, the Driver shall be provided the following coverage:
a. Third-party Liability Coverage. This coverage is designed specifically for transporting
children and meets regulatory requirements. It includes up to $1 million in liability
coverage per accident. It insures bodily injuries and property damage caused to riders,
people in other vehicles, pedestrians, vehicles, and other property,
b. Auto Physical Damage Coverage. If the Driver maintains collision and comprehensive
coverage on their personal auto insurance, goEasy insurance shall provide physical
damage coverage for the vehicle for any accident for which the Driver is found to be at
fault. The driver must pay a $2,500 deductible before coverage applies.
4.2.1. In the event of an accident, the Driver shall disclose that they were on a goEasy
assigned ride as per their Route on the Platform during the accident and provide
proof of insurance coverage to interested parties, automobile insurers, and
investigating police officers.
4.2.2. The Driver shall report the incident to the vehicle owner if they are not the owner
and to the holder of the vehicle’s insurance policy if they are not the holder.
4.2.3. The Driver shall report the accident to goEasy within 48 hours of the incident.
Incidents reported outside the 48-hour window may not be covered.
- FAIR PAY AND COMPENSATION
5.1 Driver Payout. The Driver is entitled to compensation that meets the jurisdiction's
minimum wage and compensation rules for rideshare drivers, including per-minute and
per-mile rates. The Driver shall receive the payment (the “Payout”) for each serviced Route
as per the payout of the finalized route.

5.2 Route Changes Or Cancellations. An assigned Route may change or be canceled altogether
due to one or more canceled rides. An assigned Route updated more than twelve (12) hours
before the arrival time at the first stop will be reassigned to the Driver with updated
distance, time, number of stops, booster seats, and payout. An assigned Route, updated
within 2 hours of arrival at the first stop, shall be reassigned to the Driver with updated
distance, time, number of stops, and booster seat, with no update to the previously
accepted payout.
5.3 Other Charges. In addition to the Driver Payout for the Route, Driver shall receive
reimbursements for bridge or road tolls incurred while driving a Route. Driver shall not be
reimbursed for any bridge or road toll incurred outside a Route. The Driver may also be
reimbursed for any damage to the Driver Vehicle sustained during a Route, provided the
damage was not caused by the Driver’s negligence, intentional misconduct, or violation of
this Agreement. goEasy reserves the right to review and approve damage reimbursement
claims on a case-by-case basis.
- PARENT PREFERENCES AND ASSIGNMENT RESTRICTIONS
6.1 Parent Preference; Automatic Reassignment. goEasy reserves the right, in its sole
discretion, to unassign or reassign any Route or individual ride from a Driver at any time,
including after assignment, if a parent or legal guardian of a Rider requests that the Driver
not provide services to that Rider, or if goEasy otherwise determines that reassignment is
appropriate for safety, customer-experience, or operational reasons. In such
circumstances, the Platform may automatically unassign the Driver from the applicable ride
or Route without compensation for that unassigned portion.
6.2 Future Ride Restrictions. Upon receipt of a parent request or internal determination that
a Driver shall not service a particular Rider, the Platform will automatically prevent future
matches between the Driver and that Rider. The Driver acknowledges and agrees that:
a. Parents and guardians have the unrestricted right to decline any assigned Driver;
b. goEasy has no obligation to provide any explanation for such preference-based
restrictions.
c. The Driver is not guaranteed any minimum number of assignments, Routes, or earnings.
6.3 Appeal or override. Decisions regarding parent preferences, Rider-specific restrictions, or
related unassignments are final and not subject to appeal. The Driver shall not contact any
parent, Rider, or household directly regarding any unassignment or restriction.
6.4 Last-Minute Decline Penalties. If a Driver accepts a Route or individual ride and
subsequently declines or cancels that assignment within twelve (12) hours of the scheduled
pick-up time, goEasy may, in its sole discretion, impose a temporary suspension of the
Driver’s matching privileges. The Driver’s account may be restricted from receiving new
Route or ride matches for a period of up to fourteen (14) consecutive days. During this
suspension period, the Driver will not be eligible for assignment of any Routes, rides, or
Platform opportunities.

6.5 Additional Consequences. Repeated last-minute declines or cancellations may result in
longer suspension periods, reduced access to future Routes, permanent deactivation, or
termination of providing Services at goEasy’s discretion. The Driver acknowledges that lastminute cancellations significantly disrupt operations and may impact Rider safety and
reliability expectations.
6.6 Compensation Claims. The Driver will not receive any compensation for suspended periods
or for any unassigned Routes or rides resulting from a last-minute decline.
6.6.1. In addition to the Driver Payout for the Route, Driver shall receive reimbursements
for bridge or road tolls incurred while driving a Route.
6.6.2. Driver shall not be reimbursed for any bridge or road toll incurred outside a Route.
6.6.3. The Driver may also be reimbursed for any damage to the Driver Vehicle sustained
during a Route, provided the damage was not caused by the Driver’s negligence,
intentional misconduct, or violation of this Agreement. goEasy reserves the right to
review and approve damage reimbursement claims on a case-by-case basis.
- LIABILITY
7.1 Disclaimer. Driver expressly understands and agrees that, to the extent permitted by
applicable law, the use of the Platform is at Driver’s sole risk and that the Platform is
provided on an “AS-IS” and “AS AVAILABLE” basis, with all faults, whether known or
unknown.
7.2 goEasy and its officers, directors, shareholders, members, affiliates, agents, and licensors
(collectively, the “Covered Parties”) disclaim all warranties, representations, and
conditions of any kind, whether express or implied, including, without limitation, the
implied warranties of merchantability, fitness for a particular use or purpose, and noninfringement.
7.3 This Section also applies to, without limitation, any booster seats that goEasy may provide
to the Driver or the installation of such booster seats by the Driver.
7.4 Covered Parties make no representations or warranties of the accuracy or completeness of
the content available on or through the Platform or for the conduct of any Platform users.
7.5 The Driver is not a Covered Party within the meaning of these terms. goEasy does not
control or have the right to control those persons who organize rides to be completed
through goEasy except to the extent expressly set forth in these or any applicable
supplemental terms or as required by the applicable state law, federal law, regulation, or
ordinance.
7.6 goEasy does not guarantee that the Driver will receive a specified number of ride requests
or Driver Payment Rate over a period.
7.7 To the extent permitted by applicable law, the Covered Parties are not liable for the acts,
errors, omissions, representations, warranties, or negligence of any users or for any

personal injuries, death, property damage, or other damages or expenses resulting
therefrom. goEasy does not represent or endorse and shall not be responsible for the
Driver’s ability or inability to provide Services using the Platform. goEasy shall not be liable
for any delay in or failure to perform any Services.
7.8 Limitation of Liability. Driver understands and agrees that in no event shall the Covered
Parties be liable under any theory of liability, whether in contract, tort, statutory, or
otherwise, for any indirect, incidental, special, or consequential damages, including,
without limitation, damages for loss of revenue, profits, goodwill, use, data, or other
intangible losses even if the Covered Parties were advised of the possibility of such
damages arising from or relating to their use of the Platform or Services. In no event shall
the Covered Parties’ total aggregate liability to Driver exceed (1) an amount greater than
the total amount of fees collected from the Driver’s assigned route in the three months
before the date of the event giving rise to the liability or (2) one thousand dollars
($1,000), whichever is greater. The foregoing limitations of liability shall not apply to the
liability of a Covered Party for (a) death or personal injury caused by a Covered Party's
negligence or for (b) any injury caused by the Covered Party’s fraud or fraudulent
misrepresentations. The foregoing limitations of liability are fundamental elements of
the basis of the bargain between goEasy and Driver.
7.9 Indemnity and Hold Harmless. Driver agrees to indemnify and hold harmless the Covered
Parties against any claims, damages, losses, costs, liabilities, and expenses or fees (including
reasonable attorneys’ fees), of any kind, relating to or arising out of:
i. Their use of the Platform or Services;
ii. Driver’s violation or breach of any provision of this Agreement, the policies
referenced herein, or any applicable law or regulation, whether or not referenced
herein;
iii. Driver’s violation of any rights of any third party;
iv. Driver’s use of, or inability to use, the Platform to provide Services, or for any
reason.
7.10 goEasy reserves the right, at its sole discretion and expense, to assume the exclusive
defense of any matter otherwise subject to indemnification by the Driver, in which event
the Drivershall fully cooperate with goEasy in asserting any available defenses. This Section
does not require Driver to indemnify any of the Covered Parties for any unconscionable
commercial practice by such party or for such party’s fraud, deception, false promise,
misrepresentation or concealment, suppression, or omission of any material fact in
connection with the Platform.
7.11 Driver agrees that the provisions in this Section shallsurvive the termination of their Driver
Account or their access to the Platform.

CONFIDENTIALITY AND PRIVACY
DRIVER AGREEMENT
8.1 Confidentiality. Driver shall treat all technical, financial, strategic, and other proprietary
and confidential information relating to goEasy business and operations, including any
information about Riders and pick-up and drop-off specific instructions, as “Confidential
Information”. Information Driver receives related to the Services may include certain
Protected Health Information (“PHI”) of Riders, as that term is defined under the Health
Insurance Portability and Accountability Act of 1996, 42 U.S.C. § 1320d-3120d-8 (“HIPAA”)
and its implementing regulations thereunder by the U.S. Department of Health and Human
Services (the “Privacy Rule”) and other applicable laws, as amended, and shall be treated
as Confidential Information. PHI includes any information that (i) relates to the past,
present, or future physical or mental condition of an individual; the provision of health care
to an individual; or the past, present, or future payment for the provision of health care to
an individual; and, (ii) that identifies the individual or with respect to which there is a
reasonable basis to believe the information can be used to identify the individual.
Furthermore, the information you receive may be considered Confidential Information
under the Family Educational Rights and Privacy Act (“FERPA”) (20 U.S.C. § 1232g; 34 CFR
Part 99) and the Protection of Pupil Rights Amendment (“PPRA”) of 1978. Driver may only
use Confidential Information to fulfill Services as a Driver using the Platform.
8.2 Furthermore, any Confidential Information is provided to the Driver solely to carry out the
Services, and the Driver agrees not to disseminate, distribute, disclose, or otherwise share
any Confidential Information. In the event of any improper disclosure, the Driver agrees to
notify goEasy of such disclosure immediately. Any improper disclosure violates this
Agreement and may result in the deactivation of the Driver Account and immediate
termination of this Agreement.
- TERM AND TERMINATION
9.1 Term. This Agreement may be terminated by Driver, without cause upon one-week written
notice to goEasy, or by either Party immediately, without notice, upon the other Party’s
material breach of the terms, including but not limited to any violation of Section 2.
9.1.1 In addition, goEasy may terminate this Agreement or deactivate the Account on the
Platform immediately in the event
i. Driver no longer qualifies to provide or arrange for Services or operate under
applicable law, rule, ordinance, permit, or regulation; or
ii. goEasy has the good faith belief that such action is necessary to protect the safety
of the goEasy community or third parties.
In the event of deactivation under (i)-(ii) above, the Driver shall be notified of the
potential or actual deactivation and an opportunity to cure the breach. If the violation
is cured promptly and to goEasy’s satisfaction, the Driver’s account on the Platform
shall not be permanently deactivated. Driver may not use the Platform after their
account has been deactivated unless expressly authorized by goEasy. All Section
shall survive any termination or expiration of this Agreement that are allowed by
law.

- MISCELLANEOUS
10.1 Notices. All notices, requests, and other communications to any Party hereunder shall be
in writing (including email) to the addresses or emails listed below or to such other address
or email number and with such other copies as such Party may hereafter specify for the
purpose by notice to the other Party delivered in accordance with this Section. Each such
notice, request, or other communication shall be effective: (a) on the day delivered (or if
that day is not a business day, or if delivered after 5:00 p.m. Pacific Standard Time on a
business day, on the first following day that is a business day) when (i) delivered in person
or (ii) sent by overnight courier; (b) on the day when transmittal confirmation is received if
sent by email (or if that day is not a business day, or if after 5:00 p.m. Pacific Standard Time
on a business day, on the first following day that is a business day); or (c) if provided by any
other means, upon receipt.

10.2 Amendments; Waivers. Any provision of this Agreement may be amended by goEasy with
notice to Driver, at any time, and is deemed accepted by Driver by lack of termination
pursuant to the time frame provided in Section 8.1. of this Agreement, acceptance of the
terms, or acceptance of a new Route after such amendment is announced. No failure or
delay by either Party in exercising any right, power, or privilege under this Agreement shall
operate as a waiver thereof nor shall any single or partial exercise thereof preclude any
other or further exercise thereof or the exercise of any other right, power, or privilege.
Except as otherwise provided herein, no action taken according to this Agreement,
including any investigation by or on behalf of any Party, shall constitute a waiver by the
Party taking such action of compliance with any representations, warranties, covenants, or
agreements contained in this Agreement. Any term, covenant, or condition of this
Agreement may be waived at any time by the Party entitled to the benefit thereof, but only
by a written notice agreed to by such Party expressly waiving such term or condition. The
waiver by any Party of a breach of any provision hereunder shall not operate or be
construed as a waiver of any prior or subsequent breach of the same or any other provision.
10.3 Successors and Assigns. Except as outlined in this Agreement, this Agreement shall not be
assignable by Driver, and any such purported assignment is null and void (such consent not
to be unreasonably withheld). goEasy may assign this Agreement without any prior notice
or approval.
10.4 Entire Agreement. This Agreement constitutes the entire agreement between the Parties
with respect to the subject matter hereof. It supersedes all prior agreements,
understandings, and written and oral negotiations between the Parties for the subject
matter hereof.
DRIVER AGREEMENT
10.5 Force Majeure. Neither Party shall be liable for any loss or damage whatsoever arising
out of any delay or failure in the performance of its obligations under this Agreement to
the extent such delay or failure results from events beyond the control of such Party,
including acts of God, acts or regulations of any governmental authority, war, accident,
pandemic, fire, flood, strikes, industrial disputes or shortages of fuel.
10.6 Disputes/Governing Law. In the event of any controversy, claim, or dispute between the
Parties arising out of or relating to this Agreement or the breach thereof, the substantially
prevailing Party shall be entitled to recover from the other Party its reasonable expenses,
attorney’s fees, and costs. This Agreement shall be governed by and construed by the laws
of the State of Washington, excluding its conflicts of law provisions. In the event of a
dispute arising under this Agreement, the parties hereby submit to exclusive jurisdiction in
the federal or state courts located in King County, Washington, and agree that the venue is
proper and convenient in such forum.
10.7 Severability. Any provision of this Agreement that is prohibited or unenforceable in any
jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or
unenforceability without invalidating the remaining provisions of this Agreement or
affecting the validity or enforceability of such provision in any other jurisdiction. The
application of such invalid or unenforceable provision to persons or circumstances other
than those as to which it is held invalid or unenforceable shall be valid and be enforced to
the fullest extent permitted by applicable law. To the extent any provision of this
Agreement is determined to be prohibited or unenforceable in any jurisdiction, goEasy and
Driver agree to use commercially reasonable efforts to substitute one or more valid, legal,
and enforceable provisions that, as far as practicable, implement the purposes and intent
of the prohibited or unenforceable provision.
10.8 Third-Party Beneficiaries. Except as expressly provided herein, nothing expressed or
implied in this Agreement is intended, or shall be construed, to confer upon or give any
person other than the Parties and their successors or permitted assigns any rights,
remedies, obligations, or liabilities under or because of this Agreement or result in such
person being deemed a third-party beneficiary of this Agreement.
10.9 Relationship of Parties; No Agency. It is understood and acknowledged that the Services
Driver provides to goEasy hereunder shall be in the capacity of an independent contractor
and not as an employee or agent of goEasy. The driver should control the conditions, time,
details, and means by which the Driver performs the Services. The driver has no authority
to commit, act for, or on behalf of goEasy or to bind goEasy to any obligation or liability.
Nothing in this Agreement shall be deemed in any way or for any purpose to constitute
either Party an agent of the other Party in the conduct of such Party’s business or to create
a partnership or joint venture between the Parties.
